Transition Technologies MS (TTMS) is commencing a public offering, aiming to raise a net sum of approximately 80 million PLN. According to the prospectus published today, the subscription period for individual investors will last until October 25, 2024, with the maximum allocated price set at 35 PLN per share.

TTMS is a Polish software house with a global scope, assisting large, international companies from demanding sectors in their digital transformation process. “We are committed to maintaining a business model that allows for swift growth, including through international acquisitions. We envisage our future expansion to be driven by an increased presence in mature markets. We aim to secure capital from investors for these acquisitions,”, states Sebastian Sokołowski, the President of TTMS. The company’s main focus for acquisitions are markets in Western Europe. The successful acquisitions in Denmark and Switzerland have proven the company’s skill in effectively incorporating companies into the Group, leading to swift and mutually beneficial improvements in performance.

The primary goal of the issuance is to secure financial resources for future acquisitions. The company sees opportunities in acquiring entities in international markets, particularly in Western Europe, as a chance for accelerated development of the Group.

Approximately 68 million PLN from the acquired funds is planned for financing future acquisitions. For the refinancing of the acquisition of the Swiss company Pixel Plus AG, which took place in early 2024, around 10 million PLN would be designated. The remaining portion of the offering proceeds – around 2 million PLN – is to be used for the expansion of development teams.

The public offering opened on October 21, 2024, and ended on October 25, 2024. The largest portion of the offer is directed towards institutional investors, with 10-15% of the offer reserved for individual investors. Employees are entitled to 1.5% of the company shares.

The global expansion of TTMS along with its focus on high-demand technologies such as cybersecurity, AI, big data, and cloud computing, is a testament to its promising future. It is also proof of the company’s strong standing in a market that is expected to grow rapidly in the coming years due to technological advancements, especially in the field of artificial intelligence.

The issuance and debut on the Warsaw Stock Exchange (GPW) will allow the company to raise the necessary financial resources for further acquisitions and thereby expansion into new markets, adds Prof. Konrad Świrski, Chairman of the Supervisory Board of TTMS, President of the TT Group.
