The rebranding of Panda Group to Fabrity Commerce marks the final stage of integrating the company into the Fabrity Holding Group’s structure. The developed M&A transaction model and the expansion of the capital group is meant to be replicated, bringing benefits to customers, Fabrity Group, acquired teams, and the previous owners of the acquired companies – who remain active leaders in their organizations.
Eight months after the purchase of Fabrity Commerce (formerly Panda Group) by Fabrity, the results of synergy and value building are already visible, benefiting all parties of the transaction and, above all, customers – not only of Fabrity Commerce but also of the entire Fabrity Group.
“Common processes that streamline our operations and increase the profitability of projects are key for us. Freeing up my time and focusing on sales activities are already bringing concrete results. We can offer our customers the technologies available in Fabrity, and Fabrity customers advanced e-commerce technologies. This is the kind of synergy we aim for”, says Szymon Niedziela, President of Fabrity Commerce and co-founder of the company.
“We have organized business processes within the new company in the Group and also developed technological infrastructures due to cooperation with internal teams. This has resulted in acquiring new customers, including from the USA. We are also strengthening cooperation with customers from Europe, carrying out interesting projects that increase user experience (UX) and e-commerce efficiency. We are also developing cooperation with technological partners. We have expanded our sales competences, and we plan to strengthen this area in the coming months”, says Maja Rutkowska, Vice President of Fabrity Commerce.

Fabrity Commerce is a company known for providing quality services, specializing in e-commerce solutions, particularly using Magento and Hyvä. The company’s suite of services has expanded through its involvement with the Fabrity Group, and now includes B2B e-commerce development, UX/UI auditing, conversion rate optimization, implementing product information management (PIM) platforms, and automated testing.
In February 2024, Fabrity acquired a 51% stake in Panda Group (currently Fabrity Commerce) from its two founders and managers. The former owners remain actively engaged in the company’s development and retain a 49% stake, with one remaining as President of the Board. Aside from the agreed purchase price for the majority stake, the founders of Panda Group may receive an additional payment if certain business objectives are met within two to three years (earn-out).
The investment in Panda Group is the first transaction of this type for Fabrity Group, which, however, has significant transactional experience from the role of seller in recent years – such as the sales in June 2022 of its stake in Oktawave to Netia from the Polsat Plus Group, and in September 2023 of K2 Create and K2 Precise to the Altavia/Kamikaze Group.
Fabrity continues to pursue growth through acquisitions, focusing on IT service and solution providers that could broaden their business and technological competences or expand their client base in selected markets. These objectives align with the 2024-2026 strategy set by the company.
