COMPANIESINNO-GENE shareholders decided to change the name to HyEnergy and enter the green hydrogen production segment

Shareholders of Inno-Gene S.A., a company listed on NewConnect and operating in the field of genetic diagnostics and bioinformatics, decided to expand the profile of their business on October 15. The group, through a subsidiary, will enter the production of green hydrogen and e-methanol and will also change its name to HyEnergy S.A.

On October 15, during the shareholders’ meeting, Inno-Gene S.A. adopted resolutions concerning changes to the company’s bylaws, renaming the company, and issuing new series H shares.

The shareholders decided to expand the Capital Group’s operations by adding the technology for the production of green hydrogen and e-methanol. Accordingly, Inno-Gene S.A. acquired 150,000 shares of Hydrogenium Prosta Spółka Akcyjna headquartered in Lublin (“HYDROGENIUM”), which account for 73.17% of HYDROGENIUM’s share capital in exchange for 27,380,000 newly issued ordinary bearer series H shares. These will constitute 81.53% of Inno-Gene’s share capital and total voting rights once fully registered.

The company announced the signing of an investment agreement with Hydrogenium, following which Inno-Gene will hold a 94% stake in the share capital of the subsidiary by the end of the year.

With the acquisition of Hydrogenium, the issuer’s Capital Group’s activities will be expanded to include the production of hydrogen, e-methanol, and carbon dioxide using biomass plasma gasification technology.

“I am pleased that our shareholders have accepted the change program, and the general meeting unanimously adopted all resolutions without opposition. We want to actively participate in the green revolution in the industry and move away from energy obtained from fossil fuels. Currently, we are focusing on potential partners interested in our installation and institutions financing our large industrial installation project,” said Jacek Wojciechowicz, President of Inno-Gene S.A.

Hydrogenium is a tech company and owns the IP for biomass gasification technology in a plasma environment, which has been researched and analyzed for over 20 years.

The breakthrough technology allows for the economic and mass production of hydrogen from a wide range of different types of biomass or waste. The synthesized gas produced can be converted into methanol or other e-fuels or used in the production of green substrates for the chemical industry, which increases the versatility of the novel technology.

“I am very proud to have taken another step in our joint plan, which we consistently implement. We have a unique technology with much better performance parameters than obtaining hydrogen using electrolyzers. We want to take advantage of our benefits on the international market”, said Maciej Ganczarski, Managing Partner of the company.

Using Hydrogenium Prosta S.A.’s plasma gasification technology allows for highly efficient conversion of carbon (at very high temperatures) contained in biomass to synthesis gas, which can be used for the production of green hydrogen and subsequently e-methanol.

This method offers the possibility of producing low-emission hydrogen on a large scale, creating substantial savings for urban companies and enterprises operating in the heavy industry, chemical, and maritime transport sectors.

Preliminary research has shown a high economic efficiency of the hydrogen obtained in the biomass gasification process, reaching 1-2 Euros for the production cost per each kilogram of hydrogen produced.
