cyber_Folks S.A. signed a preliminary agreement to acquire 49.9% of Shoper S.A. stock. The current investment is a key step in realizing the company’s strategy to be a leader in e-commerce technology in Central and Eastern Europe. The strategic cooperation of both companies is expected to contribute to the further development of e-commerce technologies and products, addressing the growing needs of entrepreneurs conducting online sales. The completion of the transaction, worth almost PLN 550 million, depends on the approval of the UOKiK.

The cyber_Folks Group provides solutions to 365,000 customers in over 100 markets. The Group’s offering comprehensively supports companies’ online presence, e-commerce sales, and multi-channel communication.

Shoper is a leader in SaaS e-commerce solutions in Poland. In the first nine months of 2024, the value of transactions in the Shoper ecosystem reached a record level of PLN 10.2 billion.

“We have been competitors until now, but it has always been positive competition. We believe that by investing in Shoper, there is a great potential for exchanging experiences, especially in the product, technological, and marketing areas. Both companies have top-notch specialist teams and talents in their fields,” adds Jakub Dwernicki.

cyber_Folks signed a preliminary purchase agreement for 14,039,145 Shoper shares with MODHAUS Sp. z o.o., K&K Family Foundation, R&E Family Foundation, KFF SCSp, and V4C Poland Plus Fund S.C.A. The selling price of each share will be the same for all sellers and will amount to PLN 39.00. This means that the total value of the transaction will be PLN 547.5 million and will be financed with debt.

“Our debt level is historically low. After the third quarter, the net debt to EBITDA ratio was 0.5, with a prospect of almost zero by the end of the year. As a result, the announced transaction will be financed with debt capital. The planned transaction will not affect our dividend policy, which provides for a systematic increase in dividends.” Says Robert Stasik, deputy president of cyber_Folks.

In the third quarter of this year, the cyber_Folks Group generated a 70% increase in consolidated net profit attributed to the shareholders of the parent company to PLN 17.1 million. During this period, the Group’s net income reached PLN 185 million (a 54% increase y/y), and adjusted EBITDA nearly PLN 46 million (a 27% increase y/y).
