The Minister of State Assets has appointed Mr. Witold Literacki to the board of ORLEN as of February 6, 2024. Simultaneously, at today’s meeting, the Supervisory Board of the company has designated Mr. Witold Literacki, as of February 6, 2024, to serve as the acting President of the ORLEN board. At the same meeting, from the current Supervisory Board, Kazimierz Mordaszewski, Tomasz Sójka, and Tomasz Zieliński were delegated to the ORLEN board for a period no longer than three months until the appointment of board members. A competition will ultimately determine the new ORLEN board.

The qualifying procedure launched by the Supervisory Board applies to the President of the Board, Vice Presidents of the Board, and Board Members. The specific requirements for candidates will be published by the ORLEN Supervisory Board on the website orlen.pl on February 14, 2024.

As a result of decisions made by ORLEN’s Supervisory Board, the company’s Management Board will work as follows from February 7, 2024:

  • Witold Literacki, acting President of the Board
  • Kazimierz Mordaszewski, delegated from the Supervisory Board to temporarily perform the functions of a Board Member
  • Tomasz Sójka, delegated from the Supervisory Board to temporarily perform the functions of a Board Member
  • Józef Węgrecki, Board Member
  • Tomasz Zieliński, delegated from the Supervisory Board to temporarily perform the functions of a Board Member.

Earlier, the ORLEN Supervisory Board dismissed Adam Burak, Krzysztof Nowicki, Robert Perkowski, Piotr Sabat, and Iwona Waksmundzka-Olejniczak from the ORLEN board.

Witold Literacki is a graduate of the University of Silesia, Faculty of Social Sciences (1994), and also holds an MBA from the Lublin School of Business, in cooperation with the University of Central Lancashire in the UK (2006). He is an expert in finance and taxes and has been involved in the fuel-energy industry for many years. He gained managerial experience in both foreign and Polish companies, including PKN ORLEN.

From 2022 to 2023, he served as the financial director at PERN SA. Previously, from 2020-2022, he was employed as a financial director at Warsaw Mechanical Works PZL-WZM in Warsaw SA. From 2008-2020, he was the director of the tax office at PKN ORLEN SA. From 1999-2007, he was a senior manager for tax control at Carrefour Polska Sp. z o.o. From 1991 to 1997, he was an inspector in the tax control department of the Tax Office in Zabrze.

Kazimierz Mordaszewski is a graduate of law at Nicolaus Copernicus University in Toruń and also completed studies at the Catholic University of Lublin. He built his professional experience as a judge trainee and then as a legal adviser trainee at the Team of Legal Advisers, later working as an academic teacher at the Białystok branch of the Faculty of Law of the University of Warsaw. In 1989, he obtained legal adviser’s rights.

In recent years, he has held various positions, including being the director of a department at the Ministry of State Assets.

Professor Tomasz Sójka is a legal scholar working at the Adam Mickiewicz University in Poznań. An advocate, he specializes in company law, capital market law, and new technologies.

Tomasz Zieliński is a chemical sector expert with over 20 years of experience in top management, administrative, and academic positions. Since June 2013, he has been the President of the Board of the Polish Chamber of the Chemical Industry – the most important institution representing the Polish chemical industry at the national and international level.
