Trans Polonia S.A. (TPG), a publicly listed international transport and logistics operator on the Warsaw Stock Exchange, has signed an agreement to acquire 100% of shares in the Dutch company Nijman/Zeetank Holding B.V. (N/Z) as well as its affiliated company N & K Equipment B.V. This acquisition marks a major step in TPG’s development strategy, significantly enhancing its expertise—especially in the chemical industry’s key segment of intermodal transport. The move also substantially expands the company’s operational scale and geographical reach.


A European Leader in Liquid and Glass Logistics

Nijman/Zeetank is a well-established European provider of logistics solutions for the transport of liquid chemical raw materials, fuels, oils, gas, and glass. The company also operates internal logistics and warehousing services for the glass manufacturing industry. With a strong presence in European markets—particularly the Benelux countries, Poland, and the UK—N/Z generated nearly PLN 300 million in sales revenue in 2024.


Transaction Structure and Financing

The total value of the deal is capped at €34.9 million (approx. PLN 150 million), with the final amount depending on the achievement of specific performance indicators (KPIs) outlined in the agreement. The initial payment amounts to €20 million, with the remainder contingent upon meeting these KPIs. The transaction will be entirely financed through bank debt.


Strategic Milestone for Trans Polonia

“Trans Polonia has long been one of the leading transport and logistics companies in the European market for hazardous goods. We are continuously working to strengthen this position. The integration of Nijman/Zeetank into the Trans Polonia Group will redefine our operational scale and open up new growth opportunities. This acquisition will significantly boost our scale across nearly all areas, strengthen our offering for both new and existing clients, and grant us access to the strategic intermodal transport market,” said Dariusz Cegielski, President of the TPG Management Board.


Infrastructure and Assets

The N/Z Group owns a complete logistics infrastructure, including logistics bases in Spijkenisse (Rotterdam, Netherlands), Sandomierz (Poland), and St. Helens (Liverpool, UK). It operates a fleet of 648 vehicles, 530 tank containers, a range of specialized machinery, commercial contracts, licenses, and a highly qualified workforce.

Additionally, the company has direct access to transshipment operations in the Port of Rotterdam—one of the key ports in the ARA region—and a logistics base located directly at the port, a significant advantage for expanding intermodal transport of liquid raw materials.


New Capabilities and Market Entry

“The acquisition of Nijman/Zeetank, a specialist in efficient intermodal chemical transport using tank containers across Europe, is crucial for the Group’s development. Following the merger, TPG’s fleet will exceed 1,000 transport units, making it one of the largest in Europe. Furthermore, with warehousing capabilities and direct port access in Rotterdam, we are entering an entirely new operational level. We are not only expanding into the UK market but also gaining new clients and enhancing services we already provide—some of which were not previously offered by N/Z,” emphasized Cegielski.


Expansion into Glass Transport

According to TPG’s management, Nijman/Zeetank’s extensive experience in glass transport represents another strategic advantage. This is a new business area for TPG, which sees significant market potential in the sector and intends to further develop this segment.

“High-quality glass production for the construction industry is an integral part of economic development. With rising infrastructure investments and the booming construction and real estate markets in Poland and abroad, this segment offers excellent investment opportunities. Adding glass transport to our portfolio is a very important element of this transaction,” added Cegielski.


Leadership Continuity and Future Integration

To ensure a smooth transition, the General Manager of the N/Z Group will remain with the company and continue to be involved in its business operations for at least two years following the acquisition.

The acquisition of Nijman/Zeetank is another step in executing Trans Polonia Group’s European and Polish growth strategy, which is built on sustainable organic expansion and an intensive acquisition program. The combination of competencies and operational synergies is expected to deliver long-term benefits and further solidify the Group’s position as a key player in the European transport sector.
