NanoGroup SA – an innovative biotechnology company listed on the Warsaw Stock Exchange – is strategically expanding its portfolio into the Value Added Medications segment by financing PLN 7.5 million of a new share issue by Auxilius Pharma SA as part of the company’s PLN 15 million investment round.
The funds raised in this milestone transaction for the sector will enable Auxilius Pharma SA – a pioneer among Polish companies in the field of value-added medicines – to launch a Phase 1b clinical trial of an improved treatment for chronic angina. This will pave the way for partnership opportunities, with a priority focus on the U.S. strategic market. The event also aligns with NanoGroup SA’s long-term strategy aimed at building a strong, integrated biotechnology group.
Auxilius Pharma SA is a private Polish pharmaceutical company and one of the few operating in a virtual biotech model. It specializes in developing Value Added Medications (VAM)—drugs which use already studied and approved active substances, but in modern formulations that enhance therapeutic effectiveness and patient comfort. For Auxilius Pharma SA, this means a proprietary technology modifying how the drug is released in the body, allowing for reduced dosing frequency and an optimized pharmacokinetic profile.
In many current therapies, frequent dosing is required, which commonly leads to decreased effectiveness due to poor adherence. By changing the dosing regimen, treatment becomes easier for patients and more effective in the long term—especially important in chronic diseases.
The company’s flagship project is AUX-001, a drug for chronic, stable angina. The medication is based on a proven mechanism of action and a well-established safety profile. It alleviates symptoms, reduces cardiovascular risk, and decreases hospitalization rates, while its modern once-daily formulation makes treatment more convenient and potentially more effective.
The company works closely with the FDA and plans to submit an application for market approval of AUX-001 in the United States in 2028. The VAM development model based on the 505(b)(2) regulatory pathway enables significantly faster project development, reduced costs, and lower risk, while facilitating strategic partnerships in clinical research and commercialization.
This means Auxilius Pharma SA can bring safe, proven, and modern therapies to the market more quickly, reducing financial and operational risk while increasing the chance of commercial success and building a strong intellectual property portfolio. The virtual biotech model also allows for greater flexibility and cost efficiency due to low fixed operating costs.
“I am pleased to announce the signing of the financing agreement worth PLN 15 million. Even more so because NanoGroup is becoming our indirect partner in our further development. This is a breakthrough moment for us, opening a new stage in the company’s growth and giving a strong push to our key project, AUX-001. We plan to conduct the next clinical phase in 2026. After its successful completion, only Phase 3 will remain, significantly increasing the project’s attractiveness to future partners, as it will be close to market entry. It is possible that as early as the beginning of 2027, we will sign a partnering agreement with a major player in the U.S. cardiology market. Many companies we speak with are looking for Phase 3-stage projects to quickly strengthen their pipelines,” says Jędrzej Litwiniuk, CEO of Auxilius Pharma SA.
Part of the raised funding—PLN 7.5 million—comes from the subscription of Series D shares by the ffVC fund, which is making the investment on behalf of NanoGroup SA. The shares held by the fund carry preferential rights.
Under the agreement, NanoGroup SA and ffVC signed a side letter defining oversight rules and the exercise of rights stemming from the preferential nature of the investment. The remaining PLN 7.5 million is provided by NCBR Investment Fund ASI SA as a co-investment alongside ffVC.
Both companies—NanoGroup SA and Auxilius Pharma SA—are engaged in further discussions on deepening cooperation and exploring potential synergies that a partnership could bring.
“We view Auxilius Pharma as an exceptional partner with strong growth potential and a robust scientific foundation. This partnership, along with the completed transaction, is of key importance for the sector, illustrating dynamic changes and the growing role of companies like ours in shaping the new industry landscape,” says Przemysław Mazurek, CEO of NanoGroup SA.
“Our participation in this financing round fits into our long-term vision of building a biotechnology group focused on generating regular, repeatable revenue—not only through capital investments but especially by sharing in the future income of our partners. Collaboration with Auxilius Pharma aims for long-term cooperation that accelerates the development of breakthrough medical solutions while generating lasting market value,” adds Piotr Burliński, Chief Business Officer at NanoGroup.
NanoGroup SA is one of the few companies working on advanced normothermic perfusion technology. The company is developing, among other solutions, the NanOX system, the only device in the world using a synthetic perfusate that replaces blood. In September 2025, the company presented the first NanOX Recovery Box—a breakthrough organ perfusion device that could significantly increase the availability of transplantable organs.
The NanOX project is considered one of the few opportunities to enter a technology capable of fundamentally transforming transplantation medicine and generating significant investment returns.
For NanoGroup SA, this is another step in 2025 toward building a broad biotechnology group: in June 2025, the company acquired the aptamer platform and DOTO Medical from Pure Biologics.
