COMPANIESJRH ASI S.A. Increases Stake in U.S.-based DistrictORG Inc., Developer of CampusAI

JRH ASI S.A. is deepening its involvement in the U.S. holding company DistrictORG Inc., the global developer of the CampusAI platform. Following the acquisition of an additional 250,000 shares, JRH and its affiliated fund Smartlink Partners will jointly hold 991,000 shares, representing approximately 9.4% of the company. The move aligns with JRH’s strategy of focusing on AI-driven projects and strengthens the foundation for the commercialization of AI-native education for future skills.

On October 2, 2025, JRH signed a preliminary agreement to acquire 250,000 shares of DistrictORG from Superkonstelacja Limited. The final agreement is expected to be concluded no later than October 31, 2025. DistrictORG, registered in Wilmington, Delaware, is the company behind CampusAI – the world’s first AI-native school that leverages gaming technologies and artificial intelligence to create interactive learning and training environments.

Before the transaction, JRH owned 200,000 DistrictORG shares, while Smartlink Partners held 541,000. With the additional purchase, their combined stake will rise to 991,000 shares, or about 9.4% of the company. This strengthened position reflects long-term confidence in the potential of CampusAI and the scalability of District® Engine technology, which enables the creation of organizational digital twins, integrates immersive 3D environments with generative AI, and supports skill development programs in B2C, B2B, and B2B2C models.

CampusAI originated in Poland as an educational innovation lab and is now preparing for global expansion under the U.S. holding DistrictORG. Since its launch, the project has attracted tens of thousands of users, including over 15,000 paying subscribers, and secured more than 70 business clients. Its Human+AI Collaboration methodology – co-developed with leading academics – has demonstrably improved teamwork efficiency and employee satisfaction. The platform deliberately avoids being labeled “just another edtech,” instead building its own category of AI-native campuses and virtual districts of innovation.

For investors, scalability is key. DistrictORG, headquartered in the United States, integrates operations and partnerships across multiple markets while simultaneously developing the District® Engine technology and expanding the global network of CampusAI districts. By 2030, the company aims to upgrade AI skills for tens of millions of people and establish a global, interoperable network of virtual campuses that support companies, universities, and communities in practical human–AI collaboration.

CampusAI is an exceptionally promising project – it perfectly fits JRH’s strategy, which centers on investments in artificial intelligence. We see a growing global demand for AI skills, and we believe that DistrictORG’s technology and team will transform this potential into lasting value. We expect attractive returns on investment and value creation for JRH shareholders,” said January Ciszewski, main shareholder and President of JRH ASI S.A.

The company’s key milestones – including the integration of the Polish pilot into DistrictORG’s global structure, securing strategic investors, and achieving readiness for full commercialization – reinforce the credibility of its model. For JRH, increasing its stake not only provides a greater share in DistrictORG’s potential value growth but also ensures a tangible influence on shaping the emerging AI skills education market, one of the most dynamic and compelling sectors in the years ahead.
