COMPANIESJRH ASI S.A. Acquires Controlling Stake in Farada Group

Warsaw-listed company JRH ASI S.A. (JRH) has announced the completion of its acquisition of a controlling stake in Farada Group – one of the fastest-growing Polish firms in the unmanned aerial vehicle (UAV) sector. Following full payment and transfer of shares, JRH has become the leading shareholder in the company. This marks the conclusion of the first and most critical phase of the transaction. The next stage will involve a capital increase in Farada Group, after which JRH’s total controlling stake is expected to reach 58%.

“We are very pleased to announce the finalization of the transaction and welcome JRH as the lead investor in Farada Group. I would like to thank both teams for their commitment and professionalism, which allowed us to complete such a complex investment process in a short time. I am confident that our continued cooperation will be just as effective and will enable Farada Group to scale its operations faster, develop new technologies, and expand its presence in international markets,” said Adam M. Cudny, Co-founder and Chairman of the Supervisory Board of Farada Group.

Farada Group is a Polish technology company specializing in the design, production, and integration of advanced unmanned systems (UAS) for civilian and military use. The company develops end-to-end solutions, including platform design, flight control software, training, and drone-based services, offering full-spectrum capabilities in the UAV domain. Farada collaborates with industrial partners and research institutions, and its technologies have been successfully tested in reconnaissance, logistics, inspection missions, and real-world conflict scenarios.

“I am pleased to announce the completion of the acquisition of a stake in Farada Group – a pivotal moment for JRH and our most significant investment this year. Farada fits perfectly into our growth strategy and the ORBITEO holding, which aims to consolidate high-potential Polish tech firms in defense, AI, and space sectors. It is a company that combines hands-on experience with an innovative approach and proven field-tested technologies. I am convinced that, together with Farada’s team, we will accelerate the development of unique UAV solutions and strengthen Poland’s sovereign technological capabilities in this crucial industry,” said January Ciszewski, main shareholder and CEO of JRH.

As part of the previously signed letter of intent, Farada Group has also agreed to join the ORBITEO project – a high-tech holding being built by JRH to integrate leading Polish companies from the defense, space, AI, and deeptech sectors into a coordinated ecosystem. The partnership aims to scale production, develop dual-use technologies, and strengthen industrial-research collaboration in unmanned systems and process automation.
