JRH ASI S.A., listed on the Warsaw Stock Exchange (GPW), has announced the signing of agreements that will lead to the acquisition of a controlling stake in Farada Group, one of the leading Polish and European companies in the unmanned aerial systems (UAS) industry. At the same time, Farada Group has signed a letter of intent to join ORBITEO – a collaborative network of companies operating in the fields of space, AI, defense, deeptech, telecommunications, energy, and autonomous systems.


Acquisition Details

Farada Group specializes in VTOL (Vertical Take-Off and Landing) platforms for medium- and long-range operations and has proven experience in BVLOS (Beyond Visual Line of Sight) flights, including medical logistics and critical infrastructure protection. Under the signed agreements, JRH will acquire stakes in both Farada Group Sp. z o.o. and Farada Sp. z o.o. Ultimately, Farada Sp. z o.o. will become a subsidiary of Farada Group, and JRH will hold a 58% controlling stake in the company.

The total transaction value will exceed PLN 20 million, with planned follow-up investments raising JRH’s total commitment to over PLN 33 million — making it the company’s second-largest acquisition to date. The parties have signed two notarial share transfer agreements covering companies within the Farada Group. The agreements are conditional, pending a positive due diligence result and payment of the purchase price. The transaction is scheduled for completion by the end of October 2025.


Strengthening Poland’s UAV Innovation Hub

Alongside the acquisition, Farada Group has signed a letter of intent to join the ORBITEO project, organized by JRH, aimed at accelerating collaboration and innovation across Europe’s advanced technology sectors.

Founded in 2021, Farada Group is a Polish manufacturer and integrator of UAV systems offering three families of platforms — VTOL, multirotor, and fixed-wing — with ranges up to 1,000 km, flight endurance up to 8 hours, and payload capacities between 2 and 25 kg. These systems are designed for reconnaissance, transport, and strike missions. Farada’s dual-use technologies have already proven effective in real-world conflict scenarios.

It will also allow us to develop new data acquisition and processing solutions for both civilian and defense applications. Global Capabilities and Proven Operations

Farada Group operates its own manufacturing facility and maintains a full technology stack — from design and composite materials to electronics, assembly, testing, sensor integration, software, and training. The company sells UAV systems directly to enterprise and institutional clients and also offers “Drone-as-a-Service” (DAAS) solutions.

Farada’s supply chain meets requirements of U.S. public-sector partners, and its international presence continues to grow. The company has a subsidiary in Nevada (USA), technology partners in Taiwan, California, and Texas, and ongoing projects in Europe and Africa (including national park monitoring). Farada has extensive experience in critical infrastructure protection (particularly in the energy sector) and commercial drone logistics, including medical, courier, and food delivery operations.

In 2022, Labair, a Farada Group company, became the first Polish firm authorized to conduct commercial BVLOS medical flights of up to 80 km, linking hospitals in the Mazowieckie region with a central laboratory in Warsaw. Over 16 months of operations, Farada aircraft accumulated more than 133,000 km of flight distance in medical logistics, including a regular “air bridge” between Gdańsk and Hel, reducing delivery time from several hours to just 20 minutes. In September 2025, the company also completed Moldova’s first commercial BVLOS flight, concluding pilot tests for pharmaceutical deliveries.

“Through this collaboration, we can exponentially scale our production both globally and locally. For instance, our Lubartów plant can significantly boost manufacturing capacity. Our dual-use UAVs have already proven effective in active conflicts, and we intend to build on this experience by offering comprehensive drone operator training, including for security and defense services,” said Szymon Kupaj, CEO of Farada Group.


Strategic Outlook

By joining JRH’s ecosystem and the ORBITEO initiative, Farada Group will not only expand production capacity but also strengthen its DAAS service offering, software development, and sensor integration capabilities. The company intends to leverage synergies with other ORBITEO members in data acquisition, communications, and automation, accelerating R&D and commercialization.

In the current geopolitical climate, dual-use technologies like Farada’s play an increasingly important role — enhancing security, infrastructure resilience, and economic efficiency across logistics, emergency response, and environmental protection sectors.
