CGI (TSX: GIB.A) (NYSE: GIB), one of the world’s largest independent IT and business consulting firms, has announced that its Polish subsidiary – CGI Information Systems and Management Consultants (Polska) sp. z o.o., wholly owned by CGI – has signed a conditional agreement to acquire Comarch Polska SA, a subsidiary of Comarch SA specializing in IT solutions for public administration. The transaction is subject to regulatory approvals and other customary closing conditions.
Once the acquisition is completed, nearly 460 IT and business consulting specialists from Comarch Polska SA will join CGI, increasing the company’s talent base in Poland and the Baltic states to more than 1,500 experts.
François Boulanger, President and CEO of CGI
“CGI and Comarch Polska SA share common entrepreneurial roots. Both companies were founded with the goal of advancing technological innovation and have strengthened their market presence through close cooperation with clients,” said François Boulanger, President and CEO of CGI.
“Upon completion of the merger, the Polish market will see a major transfer of public-sector expertise, made possible by CGI’s ability to bring its global experience to the local market. This will allow us to contribute to the dynamic growth of Poland, one of the most digitally advanced regions in Europe.”
Comarch has been delivering IT software and solutions for the public administration sector since 1993. Its key portfolio areas include ERP systems, digital process and document management tools, as well as consulting and managed services. The acquisition of Comarch Polska SA will strengthen CGI’s public-sector capabilities, enable knowledge transfer, and support the implementation of CGI’s intellectual property for the benefit of public administration across the country.
Jarosław Mikos, CEO of Comarch
Jarosław Mikos, CEO of Comarch, says the acquisition of Comarch Polska by CGI is proof that the solutions developed at Comarch are not only innovative but also competitive on international markets. “It is also a testament to the maturity of our teams and the effectiveness of our business model, which combines technology, expertise, and a partnership-driven approach to clients. For Comarch’s other sectors, this is a signal to continue strengthening our core business lines and developing new technologies with even greater focus on innovation, stability, and long-term value for clients,” Mikos emphasized.
Bartłomiej Nieścierowicz, Senior Vice-President and Board Member at CGI in Poland, Lithuania, Latvia and Estonia
“Through the acquisition of Comarch Polska SA, we will be able to offer comprehensive digital and business transformation solutions for the social security, healthcare, agricultural and broader public administration sectors.
