Axpo has signed an agreement with Polenergia S.A. to acquire Elektrociepłownia Nowa Sarzyna S.A. together with its associated infrastructure. The 116 MW facility is located in Nowa Sarzyna in south-eastern Poland. The transaction expands and diversifies Axpo’s portfolio in Poland and forms part of the company’s continued investment in strategic energy assets across Europe, aimed at making a meaningful contribution to a secure and reliable energy supply system.
The transaction is subject to standard antitrust review, with closing expected in early 2026. Under the sale agreement, Axpo will take over a fully operational gas-fired combined-cycle power and heat plant (CCGT—combined-cycle gas turbine), which will be fully integrated into Axpo’s subsidiary Axpo Polska in the coming months. All current employees of the plant will remain in their roles, ensuring operational continuity and preserving local expertise—while also providing them with a strong development platform and career path within the Axpo Group.
“Being one of Poland’s leading independent energy trading companies, this acquisition further strengthens our ability to deliver integrated and reliable energy solutions in a rapidly changing market. The Nowa Sarzyna plant adds a strategic, flexible generation asset to Axpo’s Polish portfolio—supporting renewable integration and enhancing security of supply. Following the acquisition, it will continue to provide efficient, responsive capacity, contributing to the development of a sustainable, modern power system. This step reflects our long-term commitment to Poland and our focus on solutions that support the country’s energy transition,” said Mateusz Marczewski, Acting Managing Director of Axpo Polska.
“Nowa Sarzyna gas CHP plant was part of Polenergia’s portfolio for more than a decade, dating back to our involvement in conventional generation. Its sale is an important milestone that signals the consistent execution of our strategy, focused on large, strategic renewable energy projects within the green transition. It demonstrates effective and responsible capital management, enabling the reallocation of resources into renewable development that builds long-term value for shareholders and strengthens Poland’s future energy mix. Today’s decision is a key step in our ongoing strategic options review process, allowing Polenergia to concentrate on its core business and further reinforce its financial position in the face of ambitious plans for onshore and offshore wind,” said Adam Purwin, CEO of Polenergia.
Poland’s strategy for the role of gas in the national energy mix focuses on diversifying supply and using gas as a transition fuel while simultaneously increasing the share of renewables and nuclear power. In this context, efficient CCGT units provide flexible electricity generation and support the shift away from coal toward renewables. CCGTs also play a crucial role in Europe’s security of electricity supply by providing backup capacity during periods of high demand and simultaneously low wind and solar output.
Natural gas and LNG trading is an important part of Axpo’s international business. Biogas and other low-carbon gases are also gaining importance, particularly in the context of the drive toward climate neutrality.
Axpo has been present in the Polish market for nearly 25 years. The company has become one of the country’s largest independent energy sellers and one of the major offtakers of electricity generated from renewable sources. Axpo Polska serves around 35,000 businesses, manages an RES portfolio of approximately 18 TWh, delivers utility-scale photovoltaic projects, and is developing energy storage facilities and biogas plants.
